Supplement to the merger prospectus

Munksjö Oyj has supplemented the merger prospectus dated December 16, 2016. The Finnish Financial Supervisory Authority has on March 17, 2017 approved the supplement to the merger prospectus, which relates to the approval of the merger by the European Commission, Munksjö’s resolution on a return of equity and Ahlstrom Corporation’s resolution on the payment of a dividend.

Bernhard Jucker to retire from executive roles after distinguished career at ABB

Jucker to continue as Chairman of Board of Directors of ABB Germany ; successor will be announced following an orderly selection process.

ABB announced today that Bernhard Jucker (62), President of the Europe region and long term Member of the Group Executive Committee, has decided to retire from his executive roles effective June 30, 2017, after a distinguished career at ABB spanning more than 35 years. His successor will be announced following an orderly selection process.

As communicated in the press today, Jucker has been proposed to become chairman of the board of a well-known Swiss industry leader, where he has served as a member of the board of directors since 2016.

Jucker will continue to serve ABB as Chairman of the Board of Directors of ABB Germany and as an advisor to the senior leadership team.

Trimble Acquires Savcor Oy and Silvadata to Expand its Global Reach and SaaS Solutions for the Forest Industry

Trimble announced today that it has acquired the forestry business of Savcor Oy, a global supplier of forestry solutions for performance optimization and enterprise management. Trimble has also acquired Silvadata, a provider of cloud-based data, collaboration and workflow automation services to small- and medium-sized forestry companies. The acquisitions expand Trimble’s global reach and complement Trimble’s Connected Forest solutions. Financial terms were not disclosed.

Munksjö has resolved on a return of equity of EUR 0.45 per share

The Board of Directors of Munksjö Oyj  has today resolved on a return of equity in the amount of EUR 0.45 per each outstanding share, representing approximately EUR 23 million in total. The return of equity is being paid, prior to the completion of the merger between Munksjö and Ahlstrom Corporation (“Ahlstrom”), which is expected to take place on or about 1 April 2017, based on the authorisation granted by the Extraordinary General Meeting held on 11 January 2017. The return of equity is being paid from the reserve for unrestricted equity and is based on Munksjö’s balance sheet as at 31 December 2015.

ICE Europe 2017 offers large scope of innovations

UPM supports children's opportunities to participate in after school sports clubs in Finland

UPM will become the supporter of children’s after school sports clubs in Finland. The project aims to provide as many children as possible the opportunity to participate in an after school sports club or other recreational afternoon activities. UPM’s support is targeted to local operations such as trainers’ fees, equipment and facility costs, particularly in UPM’s largest production locations in Lappeenranta, Kouvola and Rauma. The project is coordinated by the Finnish Olympic Committee.

Finland is making a lot of commendable work around children’s after school sports clubs. Although the number of clubs has increased, still two thirds of the primary school pupils are excluded from recreational after school activities in connection with the school day.

The French Paper mill Ecocis has been put into liquidation

The French Paper mill Ecocis, which should have restarted to produce market deinked pulp, has been put into compulsory liquidation. The 51 employees have received their termination notice. The 15 hectares of the Voreppe site near Grenoble are for sell. BpiFrance, a partner of Ecocis’ owner, Springwater Capital, has made a complaint against Martin Gruschka, Springwater Capital’s boss. Two investigating judges have been appointed.

Made to measure ‘real’ recycling rates will target investment where it matters most

The European Parliament has today opted to follow the ambitious lead set by Environment committee’s vote on the Circular Economy package in January this year.
The most important outcome from today’s vote is that MEPs moved in favour of one single calculation method that enshrines real and comparable recycling rates both in and for Europe.

Munksjö: The combination of Munksjö and Ahlstrom is approved by the European Commission and expected to be completed in the beginning of April 2017

The European Commission has today approved the merger between Munksjö Oyj and Ahlstrom Corporation. Munksjö and Ahlstrom have now received all pre-closing competition approvals required for completing the merger.

The merger is currently expected to be completed on or about 1 April 2017. As communicated earlier, the completion of the merger is subject to certain customary conditions concerning, among other things, the availability of financing and the absence of events that would have a material adverse effect on either company.

Munksjö and Ahlstrom have agreed to distribute funds to their respective shareholders prior to the completion of the merger in the amount of approximately EUR 23 million each, corresponding to EUR 0.45 per share in Munksjö and EUR 0.49 per share in Ahlstrom. The Boards of Directors of Munksjö and Ahlstrom intend to resolve on the distributions on or about 16 March 2017. If the distributions are resolved upon on 16 March 2017, their record date would be 20 March 2017 and payment date 27 March 2017.

Double success for Metsä Board at prestigious iF Design Awards

Sonoco-Alcore to Increase Paperboard Prices in Europe
